Play Lounge City Ltd – Venue Partner Agreement

1. Parties
This Agreement is made between:
Play Lounge City Ltd, a company incorporated in England and Wales (Company Number: 15294211), whose registered office is at 27 Old Gloucester Street, London, WC1N 3AX ("Play Lounge")
and
The Venue Partner ("Venue")
Together referred to as the "Parties".
2. Purpose
This Agreement governs the Venue's participation on the Play Lounge platform, enabling the Venue to receive booking enquiries, event requests, and guest information from Users.
3. Platform Role
Play Lounge operates as a technology platform and intermediary connecting Users with venues.
Play Lounge:
- does not own, manage, or operate the Venue
- is not a party to any contract between Users and the Venue
- does not act as an agent unless expressly agreed
4. Venue Obligations
The Venue agrees to:
- provide accurate and up-to-date information (including pricing, availability, capacity, and services)
- respond to booking enquiries in a timely manner
- honour confirmed bookings
- comply with all applicable laws and regulations, including health and safety requirements
- maintain appropriate licences, insurance, and permissions
5. Booking Process
- All enquiries received via Play Lounge are non-binding requests
- A booking becomes binding only when confirmed by the Venue
- The Venue is responsible for all communication, confirmation, and fulfilment of bookings
6. Guest Information and Dietary Requirements
The Venue acknowledges that:
- guest information (including dietary or medical requirements) is provided by Users via the platform
- Play Lounge does not verify or guarantee the accuracy of such information
The Venue is solely responsible for:
- reviewing guest information
- confirming requirements where necessary
- ensuring appropriate handling of dietary and medical needs
Play Lounge accepts no liability for inaccuracies or failures relating to such information.
7. Payments and Fees
7.1 Direct Payments
Unless otherwise agreed, payments are made directly between the User and the Venue.
7.2 Commission (Future-Proofed)
Play Lounge reserves the right to introduce a commission or service fee model.
Where applicable:
- commission terms will be agreed in writing
- the Venue agrees not to bypass Play Lounge for bookings introduced through the platform
8. Non-Circumvention
The Venue agrees that:
- any User introduced via Play Lounge shall be treated as a Play Lounge lead
- the Venue shall not bypass the platform to avoid commission or fees
- this obligation applies for 12 months from initial introduction
9. Cancellations and Refunds
The Venue is solely responsible for:
- setting cancellation policies
- handling refunds
- communicating terms clearly to Users
Play Lounge is not responsible for enforcing such policies.
10. Data Protection
Each Party shall comply with applicable data protection laws, including the UK GDPR.
Role of Parties
- Play Lounge acts as a data controller for platform operations
- The Venue acts as a separate data controller for customer and event data received
The Venue agrees to:
- process personal data lawfully
- use guest data only for event-related purposes
- implement appropriate security measures
11. Liability
The Venue is solely responsible for:
- delivery of services
- health and safety
- customer experience
- compliance with applicable laws
Play Lounge shall not be liable for:
- any act or omission of the Venue
- any loss arising from event delivery
- disputes between the Venue and Users
12. Indemnity
The Venue agrees to indemnify and hold harmless Play Lounge against any claims, damages, or losses arising from:
- the Venue's services or operations
- breach of this Agreement
- failure to comply with legal obligations
13. Intellectual Property
The Venue grants Play Lounge a non-exclusive, royalty-free licence to use:
- venue name
- images
- descriptions
for the purpose of promoting the Venue on the platform and in marketing materials.
14. Term and Termination
This Agreement shall continue unless terminated by either Party.
Either Party may terminate:
- with 14 days' written notice
- immediately in case of breach
15. General
- This Agreement does not create a partnership or agency relationship
- Rights may not be transferred without consent
- If any provision is invalid, the remainder remains in effect
16. Governing Law
This Agreement is governed by the laws of England and Wales.
17. Acceptance
By listing on the Play Lounge platform or engaging with booking enquiries, the Venue agrees to be bound by this Agreement.
